GENERAL TERMS and CONDITIONS OF AGREEMENT

General terms and conditions :

The prices indicated on the website are in HUF , do not contain neither the VAT , not the transportation cost . The supplier does not any transport cost above the ordered value of HUF 100,000.(one hundred thousand) The supplier has the right to change the prices.

Purchase orders can be accepted only in written form ( e-mail or fax ). Purchase order can not be taken by phone .

Purchase orders must contain the following information : item number, color, quantity, requested shipping method an delivery date, ship to and bill to addresses, printing method, graphics, customer’s name and address, contact person , e-mail address and telephone number.

In our website you can find all the product descriptions and our colleauge’s availability who can help you to place an order.

The colours shown in our website are only informative and they can differ according to the printing method.

In case of re-selling our products, the re-seller is obliged to attach proper information / user’s manual to the product according to the law of the country where the products are sold.

The Minimal Order Quantity can be different acoording to the item. Regarding the MOQ of a particular item, please contact us .

The sample approval method includes a, the approval of the visual design b, the approval of the decorated proto sample based on picture/s of the sample .

In case of cancellation of a confirmed order by the customer, the supplier charges all incurring costs but minimum 15% of the order value .
Delivery terms :
-
The ready lot can either be picked up at our site : Hungary, 2347 Bugyi, Kossuth Lajos u.20. or can be requested to be delivered to any address.

Above the net order value HUF 100.000 the transport is free within EU.

Transport cost will be added to the invoice if the order’s value is below net HUF 100.000 .

The transport cost of one box is HUF 1150 within Hungary. ( GLS courier fee )
Payment terms :

The relevant payment term is always indicated on the purchase order form .

Payment can be settled by bank transfer or at the cashier at our office .

The total amount of the invoice must arrive to our account by the due date. In case of late payment, the supplier has the right to hold the shipment back and charge late interest according to law regulations without any premonition. In case of late payment, the supplier charges all the incurring material and labour costs that were takeover at the time of ordering such as graphic, film, and mold charge. In case of serial late payments, the payment term changes form remittance to cash payment.

Invoice can be issued in currencies USD, EUR or HUF.
Accompishment :
The accomplishment of an order depends on the present stock, the arrival date of the official order, the arrival of the downpayment ( if indicated ) and the date of the approval of the visual design and proto sample .
Purchase order procedure:

Based upon the quotation, sent by our company previously , the customer announces the aim to place an order in written form .

4PRO Kft issues an ORDER CONFIRMATION .

After checking all detailt int he Order Confirmation the customer officially stamps and undersigns the form and send it back either by e-mail or by fax .

Based on the agreed payment term, our company issues an invoice of downpayment. In case of special agreement the payment can be deferred payment .

The customer remits the amount of the invoice or see point #4.

4PRO prepares a visual design .

The customer checks the visual design and send it back properly undersigned as an approval

4PRO starts production.
-
Befor delivery 4PRO issues an ivoice according to the priviously accepted terms .

The customer remits the amount of the invoice or see note #4.

4PRO delivers the lot.
Order and Order Confirmation:

The properly signed and sent back order confirmation is taken as an approval and it is qualified as a contract in each cases .
-
The order confirmation contains all the details of both parties of the agreement, the contact persons, the object of the contract, the dead-lines, prices and costs,payment terms and due dates of payment.

A purchase order is valid only if the buyer declares thet the content of the order confirmation is studied ,understood and accepted by sending back to the supplier properly undersigned and stamped . If the order is cancelled or changed by the buyer after the order confirmation is handed , all occurring costs will be charged to the buyer .

The contracted delivery date is valid only if the buyer sends the approved order confirmation back not later that in 24 hours after the date of issue .

I case of late accomplishment the buyer can only desist from the order alluding to loss of interest if the fact of loss of interest in connection with a dedline was clearly indicated in the order .

The content of the order confirmation : Buyer’s details ( bill to address, ship to address, contact person, contact person at the finance department – e-mail address, telephone number ); requested delivery date; last possible delivery date; possibility os loss of interest related to last possible delivery date; payment terms; freight terms; transport method; packing instructions; details of decoration ( graphics, colors, size, position, technology of decoration); details of the product (definition,description, quantity, color, material); nettó price/ pc; total value of the order.
Graphics and visual design:

The visual designs are created after the order confirmation.

The visual design is for free .
-
The production starts only after receiving the approval of the visual design.

The visual design is a jpg picture file showing how the product will look like with the decoration on. The colors may differ from the original sample that is caused by the individual monitor setting. The visual design’s only purpose is to show the position and size of the graphical elements and to show the text parts for checking .

Pantoen solid colors are indicated in the visual design. These defined colors will be used in the production. There is an accepted tolerance of 4-7% in the colors of the end product. This slight difference may be resulted by the different industrial procedures.

Buyer declares thet the content of the visual design is studied ,understood and accepted by sending back to the supplier properly undersigned and stamped . With the approval of the visual design the buyer consents to start the production.

Guarantee:

According to relevant law and decrees 4PRO gives quality guarantee for each product produced or turned over by 4PRO as well as for the decoration of a product .

The guarantee period depends on the type of the product . The guarantee period of a cathegory ’A’ chip USB drive is 25 years and 1 year for a cathegory ’B’ chip USB drive . Ask our colleagues to inform you about the exact guarantee period of a particular item.

4PRO does not bear the responsibility of any failure of a product that is caused by inproper usage .

Quality complaint:
The Buyer can lay a complaint against the quality within 72 hours after receiving the goods . Because of the specialty of each production, each complaint is considered individually .
Protected trade marks and graphical elements:

The Buyer must confirm with his/hers proper signature that they have the right to use the logos and graphics that will appear ont the product.

4PRO does not take take the responsibility for using unauthorized protected trade marks or graphical elements by the buyer. 4PRO does not examine the origin of the graphics or logos . The Buyer bears any legal consequence of unauthorized using of use protected trade marks or graphical elements.
Declaration of protecting dadats:
By undersigning the order confirmation the Buyer accepts the following declaration of protecting datas :

Any data given by the customer is exclusively used by the supplier in order to fulfill the order’s requirements and stored as a proof that the order was produced properly or for the purpose of sending news letters. 4pro does not forward any data to a third party unless it contributes as a subcontractor in the production procedure like a design studio or a forwarding agency. For the subcontrator is forbidden to use or forward to a third party or store any data given by 4PRO in any way . 4Pro declares that regarding the data handling procedure our compay proceeds according to the law of year 1992. no.: LXIII . of protecting personal and publicizing datas of public utility.

4PRO declares that all the information in our website is the property of 4PRO Kft. The content and the design of website www.egyedipendrive.hu is protected by international and Hungarian laws. Selling, changing or re-issuing any pieces of infromation or items provided by 4PRO in any way is prohibited. In connection with the released materials by 4PRO all rights are reserved. In case of necessity 4PRO will excercise it’s rights by litigation .
Uploading of datas:
The datas that are to be uploaded onto the USB drives are stored in the FTP server of 4PRO, handled in private and erased after 72 hours. Regarding the handling of these datas 4 PRO act upont the content of ’ Declaration of protecting datas ’. After the approval of the Order Confirmation 4PRO provides it’s ftp server connection and a private password and user name for each customer.
Legal remedy:

Both contracting parties agreed ont that any amendment of the contract can be accepted only in written form .

Both parties agreed on being intent on coming to an arrangement in any moot question of this contract . If further disagreements occur all commercial cases shall be delegated to the regional federal court of Budapest or to the Capital Federal Court . In any matter that is not regulated in this contract both parties agreed on accepting the regulations of PTK ( civil code of Hungary ) .
